These Terms and Conditions govern the relationship between Ella Jane Lane, a United States entity, and the Affiliate in relation to the affiliate marketing program offered by Ella Jane Lane. To participate in the Program, you must complete the online application form provided by Ella Jane Lane. 1. Commission Structure: Affiliates earn commissions for qualifying sales generated through their unique affiliate links. The commission rate and structure will be provided to you upon approval in the Affiliate Program.
2. Payment: Commissions will be paid monthly or as otherwise specified by Ella Jane Lane. Payments will be made via the method selected by you (e.g., PayPal, bank transfer). Any commission due will be paid out provided that the minimum payout threshold is met, as specified in your affiliate dashboard.
3. Refunds and Chargebacks: In the event of a refund, chargeback, or cancellation of a sale, commissions for that sale will be deducted from future payments. If no future payments are due, the Affiliate must reimburse Ella Jane Lane for the commission on the refunded sale.

Ella Jane Lane will provide you with access to marketing materials, including banners, text links, and tracking tools, for use in promoting our products and services. You are not permitted to alter, modify, or create derivative works from these materials without express written consent from Ella Jane Lane.

1. Tracking: Ella Jane Lane uses tracking software to monitor sales and referrals generated through your affiliate link. You will have access to a personal Affiliate Dashboard to track your performance, clicks, sales, and commissions.
2. Accuracy: Affiliates are responsible for ensuring that their marketing efforts use the correct affiliate links and that all tracking mechanisms are functioning correctly.

1. Termination by Affiliate: You may terminate your participation in the Program at any time by notifying Ella Jane Lane. Upon termination, you will no longer receive commissions for new sales, but any commissions due for previous sales will be paid in accordance with the normal payment schedule.
2. Termination by Ella Jane Lane: Ella Jane Lane reserves the right to terminate your participation in the Program at its discretion, without notice, if we believe that you have violated the terms of this Agreement or engaged in any inappropriate behavior.
3. Effect of Termination: Upon termination, you must immediately remove all Ella Jane Lane promotional materials and links from your website or marketing channels. Any pending commission payments will be processed as outlined above.

You agree to maintain the confidentiality of all confidential information, including business practices, commission structures, and any other proprietary information provided by Ella Jane Lane.

Ella Jane Lane will not be liable for any direct, indirect, incidental, or consequential damages arising from your participation in the Program, including but not limited to lost profits or business interruption. Your sole remedy for any dissatisfaction with the Program will be to terminate your participation.

You agree to indemnify, defend, and hold harmless Ella Jane Lane, its officers, directors, employees, agents, and partners from any claims, losses, damages, liabilities, or expenses (including legal fees) arising from your actions as an Affiliate, including any breach of this Agreement.

Ella Jane Lane reserves the right to modify, update, or change these Terms and Conditions at any time, without notice. Any changes to this Agreement will be posted on the Ella Jane Lane Affiliate Program page, and your continued participation in the Program after such changes constitute your acceptance of the revised terms.

This Agreement shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflicts of law principles.

By completing the purchase of a custom order item from Ella Jane Lane, you acknowledge that you have read and agree to the full proof disclaimer and are responsible for any design errors found after such approval and purchase.

• A design proof is a digital mockup of the end product with custom artwork.
• Please review each proof carefully. Responsibility for accuracy rests with you.
• We will not move this design into production without your approval and subsequent purchase of this item.

Review All Elements

Before providing us with your approval for production, please take time to carefully review all text and graphics for any errors. This includes, but is not limited to spelling, grammar, addresses, layout, size, and orientation. Colors projected by your device's screen when viewing your proof may vary slightly to the finished product you receive. Inform us of any errors, adjustments, or requested changes within 72 hours, or as indicated in your delivery of proof.

Approval

For individual custom orders, the completion of a cusom order item purchase from Ella Jane Lane consitutes approval of this disclaimer. For bulk custom orders, a proof addendum may be required. You will receive notification of all requirements through the custom order process.

Production and Errors

Once approval is received, we will produce your order using the agreed design. If errors are noted after production is complete, a re-run fee will be assessed for any overage outside extending beyond the quoted rate. Payment for the redesign, engraving and delivery of the item must be paid in full before a second-run production will begin. Reruns due to client error will be placed in our queue and will not be prioritized over existing jobs.

Changes in Product Availability

Occasionally the style approved may become out of stock at late notice. We will notify you and let you know of any applicable wait associated with inventory restock. If we are unable to offer the exact style selected, alternative options may be presented to reduce delays in delivery. We will waive any fees associated with design modifications if the original product selected is no longer in stock.

Ella Jane Lane retains ownership of all final artwork and associated copyrights related to the design of this custom order products. Any applicable licensed art is the property of the supporting designer. You may not redistribute or reproduce any portion of the artwork supplied. Finished artwork files are not included in your order and are not available for purchase.

Elements such as fonts and licensed art are proprietary segments, including trade name and source. We do not provide raw fonts. This decision was strongly considered but made to protect our intellectual property.
